This website is operated by ABC Cork Co. Wholesale. Throughout the site, the terms “ABC Cork Co.,” “we,” “us,” and “our” refer to ABC Cork Co. Wholesale. The terms “you,” “your,” “customer,” “purchaser,” “buyer,” and “user” refer to any person, business, corporation, partnership, sole proprietorship, organization, account holder, employee, agent, representative, reseller, retailer, or other party that accesses this website, creates an account, places an order, purchases products, receives products, or uses our services.

By accessing this website, creating an account, submitting a purchase order, placing an order online, by email, by phone, through a representative, through Shopify checkout, or by any other ordering method accepted by ABC Cork Co., you acknowledge and agree that you have read, understood, accepted, and agreed to be legally bound by these Terms of Service, including all policies, notices, conditions, and additional terms referenced herein or made available by hyperlink.

By purchasing from ABC Cork Co., checking the Terms and Conditions box at checkout, approving an order, completing checkout, making payment, receiving an order confirmation, or accepting delivery of products, you expressly agree that these Terms apply to you, the customer account, the purchasing business or organization, the billing party, the shipping recipient, and any person submitting, approving, receiving, authorizing, or benefiting from the order.

Where a purchase is made on behalf of a corporation, partnership, sole proprietorship, retailer, reseller, organization, employer, or other business entity, the individual placing, submitting, approving, or authorizing the order represents and warrants that they have full authority to bind that entity to these Terms.

The purchasing business, account holder, billing party, shipping recipient, and the individual placing, submitting, approving, or authorizing the order shall be jointly and severally responsible and liable for all obligations owing to ABC Cork Co., including, without limitation, all invoices, unpaid balances, outstanding debts, late charges, interest, shipping charges, duties, taxes, chargebacks, rejected payments, collection costs, legal fees, and any other amounts arising from or related to any order, account, transaction, product, or service.

The individual placing, submitting, approving, or authorizing an order personally guarantees payment of all amounts owing to ABC Cork Co. and agrees to be personally responsible for any outstanding debt, unpaid invoice, account balance, chargeback, rejected payment, collection amount, or other obligation, whether incurred by the individual directly or by the business, company, corporation, partnership, organization, employer, or account on whose behalf the order was placed.

ABC Cork Co. may rely on any order submitted through a customer account, Shopify checkout, purchase order, email, phone call, online checkout, representative, employee, agent, or other ordering method as valid, authorized, binding, and enforceable against both the purchasing entity and the individual placing, submitting, approving, or authorizing the order.

If you do not agree to these Terms, you may not access the website, create an account, place an order, purchase products, receive products, or use our services.

New features, tools, services, products, or programs added to the website shall also be subject to these Terms. We reserve the right to update, amend, replace, or modify any part of these Terms at any time by posting updates on our website. It is your responsibility to review these Terms periodically. Continued access to the website, continued use of the Service, continued account use, or continued purchasing from ABC Cork Co. after changes are posted constitutes acceptance of those changes.

Our store is hosted by Shopify Inc., which provides the e-commerce platform that allows us to sell our products and services.

SECTION 1 – ACCEPTANCE OF TERMS BY PURCHASE

By placing an order with ABC Cork Co., you confirm and agree that these Terms form a binding legal agreement between you and ABC Cork Co.

Your acceptance of these Terms occurs when you do any of the following:

  4. submit a purchase order;

  8. make payment or partial payment toward an invoice or account balance;

By purchasing from ABC Cork Co., you agree that you are bound by these Terms even if you do not physically sign a separate written agreement.

Each order placed with ABC Cork Co. constitutes a separate acceptance of these Terms.

If you are placing an order for a business, corporation, partnership, sole proprietorship, employer, customer account, reseller, retailer, organization, or third party, you confirm that you are authorized to do so. You also agree that both you personally and the business or account on whose behalf the order is placed are responsible for all obligations under these Terms.

The obligations in these Terms are continuing obligations and shall survive delivery of products, account closure, cancellation of orders, termination of purchasing privileges, cancellation of these Terms, or the end of any business relationship between you and ABC Cork Co.

SECTION 2 – BINDING ELECTRONIC ACCEPTANCE BY CHECKBOX

ABC Cork Co.’s online checkout may require you to review and accept these Terms before an order can be completed.

By checking the Terms and Conditions box, approving the order, submitting the order, completing checkout, making payment, receiving an order confirmation, or accepting delivery of products, you electronically sign, accept, approve, and agree to be legally bound by these Terms.

Each completed Shopify order or online order is deemed to be signed, approved, accepted, and authorized by you through electronic acceptance.

You agree that ABC Cork Co. may rely on Shopify records, checkout records, order confirmations, invoices, payment records, account activity, shipping records, delivery records, email confirmations, and related business records as evidence that you accepted and agreed to these Terms at the time of each order.

You agree not to dispute the validity, enforceability, or binding nature of these Terms solely because acceptance occurred electronically, through a checkbox, through Shopify checkout, or because no handwritten signature was provided.

SECTION 3 – ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your province, state, or jurisdiction of residence, or that you are the age of majority and have provided consent for any minor dependent to use this site.

You may not use our website, products, services, information, materials, or content for any unlawful, unauthorized, unsafe, improper, misleading, negligent, or prohibited purpose.

You are solely responsible for ensuring that your purchase, possession, handling, storage, resale, marketing, distribution, and use of any products purchased from ABC Cork Co. complies with all applicable federal, provincial, state, municipal, industry, customs, import/export, tax, labeling, alcohol-related, health, safety, consumer protection, and other laws, rules, and regulations.

The person placing each order represents and warrants that they have authority to place the order and to bind the customer, customer account, purchasing business, billing party, shipping recipient, and any related business entity to these Terms.

Where an order is placed for or on behalf of a company, corporation, partnership, sole proprietorship, reseller, retailer, organization, employer, customer account, or other business entity, the person submitting, approving, authorizing, or placing the order confirms that they are authorized to act for and bind that entity.

ABC Cork Co. may rely on the submission of each order as confirmation that the person placing the order had authority to bind the customer and any related purchasing entity.

Any order submitted through a customer account, Shopify checkout, email, phone call, purchase order, employee, agent, representative, or other approved ordering method shall be treated as authorized, valid, binding, and enforceable.

SECTION 5 – PERSONAL AND BUSINESS RESPONSIBILITY

The purchasing entity, account holder, billing party, shipping recipient, and the individual placing, submitting, approving, or authorizing the order each agree to be jointly and severally responsible and liable for:

  1. all purchases, invoices, charges, fees, taxes, shipping costs, duties, chargebacks, restocking fees, collection costs, legal fees, and payment obligations;

  2. all outstanding debt, unpaid balances, overdue accounts, rejected payments, disputed payments, reversed payments, and chargebacks;

  3. the accuracy of all account, billing, shipping, tax, business, resale, and contact information provided to ABC Cork Co.;

  4. the lawful purchase, storage, handling, use, resale, distribution, marketing, and end use of all products purchased;

  5. any claims, losses, damages, injuries, penalties, recalls, complaints, regulatory issues, or liabilities arising from or relating to the products after purchase;

  6. any misuse, modification, relabeling, repackaging, unauthorized resale, improper storage, improper handling, unlawful use, negligent use, or unsafe use of products;

  7. all actions, omissions, representations, and conduct of employees, contractors, representatives, agents, customers, end users, and third parties who access, purchase, handle, resell, distribute, or use the products through or because of the purchaser.

The individual placing, submitting, approving, or authorizing an order personally guarantees the purchaser’s obligations to ABC Cork Co., including payment of all amounts owing, compliance with these Terms, and responsibility for all outstanding debt, unless ABC Cork Co. has expressly agreed otherwise in writing.

This personal guarantee and payment responsibility shall remain in effect until all amounts owing to ABC Cork Co. are paid in full.

SECTION 6 – GENERAL CONDITIONS

We reserve the right to refuse service, reject orders, cancel orders, suspend accounts, limit quantities, revoke credit terms, require prepayment, or terminate access to the website or services at any time and for any reason.

Without limiting the foregoing, we may refuse service or cancel orders where we believe a customer has breached these Terms, provided inaccurate information, created payment risk, engaged in improper resale activity, failed to pay amounts owing, misused products, or created legal, reputational, financial, regulatory, or operational risk for ABC Cork Co.

You agree not to reproduce, duplicate, copy, sell, resell, exploit, scrape, reverse engineer, interfere with, or misuse any portion of the website, Service, product information, pricing, content, images, descriptions, or access to the Service without our express written permission.

You understand that your content, other than credit card information, may be transferred unencrypted and may involve transmissions over various networks or technical adaptations required by connecting networks or devices. Credit card information is always encrypted during transfer over networks.

The purchaser is responsible for inspecting all products promptly upon receipt. Failure to promptly inspect and report issues may result in denial of claims, credits, replacements, or returns, to the fullest extent permitted by law.

The customer account, purchasing entity, billing party, shipping recipient, and the individual placing, submitting, approving, or authorizing the order are jointly and severally liable for all amounts owing to ABC Cork Co., including all outstanding debt, unpaid invoices, product charges, shipping charges, duties, taxes, late payment charges, interest, rejected payments, reversed payments, chargebacks, collection costs, legal costs, administrative costs, and other amounts arising from any order, account, transaction, or business relationship with ABC Cork Co.

The individual placing, submitting, approving, or authorizing an order personally guarantees payment of all amounts owing to ABC Cork Co. This personal guarantee applies regardless of whether the order was placed for personal use, for resale, for a business, for a corporation, for a partnership, for an employer, for a customer account, or for any other organization or third party.

You agree that ABC Cork Co. may apply any payments received from you, your business, your customer account, or any related party to any outstanding balance owed to ABC Cork Co., in such order as ABC Cork Co. determines.

ABC Cork Co. may refuse, cancel, hold, or limit any order at its sole discretion. ABC Cork Co. may also suspend account access, withhold shipments, revoke credit terms, refuse future orders, require prepaid orders, demand immediate payment, or take collection action where any amount is overdue, disputed, reversed, rejected, unpaid, or otherwise unsatisfactory.

You agree that ABC Cork Co. may recover from you all reasonable costs incurred in collecting overdue or unpaid amounts, including collection agency fees, court costs, legal fees, administrative fees, interest, and related expenses, to the fullest extent permitted by law.

These payment, debt, and personal liability obligations shall survive delivery of products, cancellation of orders, suspension or closure of the account, termination of these Terms, or the end of any business relationship with ABC Cork Co.

SECTION 11 – SHOPIFY AND ORDER RECORDS AS EVIDENCE

You agree that ABC Cork Co.’s Shopify records, checkout records, order confirmations, invoices, account records, payment records, email confirmations, shipping records, delivery records, customer account records, and related business records may be used as evidence of:

  1. the order placed;

  2. the date and time of the order;

  3. the customer account used;

  4. the billing and shipping information provided;

  5. the products purchased;

  6. the amount owing;

  7. your acceptance of the Terms and Conditions;

  8. your electronic agreement to these Terms;

  9. your approval of the order;

  10. your binding obligation to pay all amounts owing.

You agree that ABC Cork Co. may rely on these records in connection with account administration, payment disputes, collection matters, legal proceedings, chargeback responses, and enforcement of these Terms.

  5. any claim made by your customers, employees, contractors, agents, representatives, end users, regulators, carriers, warehouses, or third parties;

  6. your negligence, misconduct, misrepresentation, omission, misuse, unauthorized resale, product alteration, relabeling, repackaging, improper storage, improper handling, or unsafe use;

  7. unpaid amounts, chargebacks, rejected payments, collection actions, or disputes arising from your orders or account;

  8. your violation of any rights of a third party;

  9. any product claim, customer complaint, injury, loss, recall, damage, regulatory action, or legal proceeding arising after the product has been delivered, picked up, transferred to a carrier, or otherwise accepted by or on behalf of the purchaser.

This indemnification obligation applies to both the purchasing entity and the individual placing, submitting, approving, or authorizing the order, jointly and severally, and shall survive termination of these Terms.

SECTION 20 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.

Such determination shall not affect the validity and enforceability of the remaining provisions.

SECTION 21 – TERMINATION

These Terms are effective unless and until terminated by either you or ABC Cork Co.

You may terminate these Terms at any time by ceasing use of the website and discontinuing purchases from ABC Cork Co.

ABC Cork Co. may terminate, suspend, or restrict your access to the Service, customer account, ordering privileges, credit terms, or future purchases at any time without notice if we determine, in our sole discretion, that you have failed to comply with these Terms or have created risk for ABC Cork Co.

All obligations and liabilities incurred prior to termination, including payment obligations, personal guarantees, outstanding debts, indemnities, limitations of liability, collection rights, and responsibility for products purchased, shall survive termination.

SECTION 22 – ENTIRE AGREEMENT

These Terms, together with any policies, invoices, order confirmations, credit terms, return policies, shipping policies, privacy policies, product-specific terms, and other terms posted by ABC Cork Co. or provided in connection with the Service, constitute the entire agreement between you and ABC Cork Co. regarding use of the website, Service, account, orders, and products.

These Terms supersede any prior or contemporaneous agreements, communications, proposals, or understandings, whether oral or written, unless expressly agreed to in writing by ABC Cork Co.
